Annual General Meeting of Shareholders: Tex Gunning appointed CEO of TNT Express

TNT Express NV announces that the Annual General Meeting of Shareholders (AGM) held today appointed Mr Tex Gunning as an additional member of the Executive Board of TNT Express in the position of CEO, with effect 1 June 2013.

The AGM adopted the 2012 financial statements and determined the 2012 dividend at € 3 cents per ordinary share of € 8 cents nominal value.

Resolutions regarding the composition of the Supervisory Board:

  • The AGM has appointed Mr Sjoerd Vollebregt as an additional independent member of the Supervisory Board for a period of four years ending at the end of the AGM in 2017. The Supervisory Board may request Mr Vollebregt to resign from the Supervisory Board if PostNL reduces its shareholding in TNT Express to 15% or less.
  • Re-appointment of Ms Margot Scheltema and Mr Shemaya Levy as members of the Supervisory Board for a term of four years ending at the end of the AGM in 2017.

Furthermore the AGM adopted the following resolutions:

  • To release from liability the members of the Executive Board and of the Supervisory Board for their tasks in so far as these tasks are apparent from the financial statements.
  • To extend the designation of the Executive Board as authorised body to issue ordinary shares until 10 October 2014. This authority shall be limited to a maximum of 10% of the issued capital plus a further 10% of the issued capital in case an issue takes place in relation to a merger or an acquisition.
  • To extend the designation of the Executive Board as authorised body to limit or exclude the pre-emptive right upon the issue of ordinary shares until 10 October 2014. This authority shall be limited to a maximum of 10% of the issued capital plus a further 10% of the issued capital in case an issue takes place in relation to a merger or an acquisition.
  • To authorise the Executive Board to have TNT Express acquire its own shares to a maximum of 10% of the issued share capital until 10 October 2014.
